Walliance has signed an agreement with Directa SIM (a brokerage company registered with resolution 11761 of 22/12/1998, at number 59 of the Register kept by CONSOB. It offers Walliance investors the possibility of opting for the alternative quotas subscription and sale regime (known as "Indexing"). When investing in an equity crowdfunding campaign of an Italian-registered company having the form of an S.r.l., users will be able to opt for this solution whose main advantages include the following.
Anonymity: only Directa SIM will appear "on behalf of third parties" in the Chamber of Commerce file search, instead of the Investor's name. Therefore, Directa SIM will hold the shares on behalf of the Investor. The company quotas and related rights will, in any case, always remain available to the Investor who can ask Directa SIM for the beneficial ownership registration of the quotas at any time.
No-cost quotas transfer: all Investors who have elected the quotas registration regime will be able to sell the company quotas that they have invested in, before the project's expiry, to any buyer holding a Directa SIM account. without incurring notary or tax consultant costs. Once you have found the buyer and agreed on the price, a communication sent to Directa SIM will be sufficient to transfer the quotas to the new holder.
How to benefit from the Indexing service?
If you are already a Directa SIM client: please access your Dashboard, click on "Account," and go to "Indexing". There, you will be able to enter your 5-digit Directa SIM user code in the provided field. Within 48 hours, you will receive an e-mail confirmation of the accuracy, or, the user code that you entered.
If you are not a Directa SIM client: please register for a Directa SIM account. To do so, access your Dashboard. Then select the "Account" section, click on the tab bar "To invest", enter the "Indexing" area, and click on the appropriate link. You will then be redirected to a new page where, through a form, you will be able to enter all the necessary data for registering your Directa account. You will be contacted by Directa SIM a few days after completing the form regarding clearance, per anti-money laundering legislation. After this clearance, you will receive your Directa SIM account number and your 5-digit Directa SIM user code. Now, you will just have to enter the code within your Dashboard's "Non-Beneficial Holding." Within 48 hours, you will receive an e-mail confirmation of the accuracy, or, the user code that you entered.
Upon confirmation, your account will be enabled for Indexing. You can choose whether to register through a third party the subscribed quotas by simply ticking the appropriate box during the investment procedure. You can still make the investment if your profile is not yet enabled. In this case, it cannot be registered through a third party.
In case you invest multiple times in the same project and you have chosen the Indexing option at least once, then all subscribed shares will be addressed to Directa SIM within the Chamber of Commerce registration.
As of 1 January 2022, Directa SIM has decided to limit account openings to those exclusively to natural and legal persons resident or with registered office in Italian or EU territory.
How much does the Indexing service cost?
If you are not a Directa SIM client and want to benefit from Indexing, to activate the Directa SIM account you must pay € 15 if you are an individual person and € 80 if you are a legal person,
Once you become a Directa SIM client, the Indexing service will cost € 30 for each project you invest in, regardless of the number of individual investment orders. Meaning, if you make multiple investments in the same project and benefit from the Indexing service, then the service cost will always cost € 30. The amount requested by Directa SIM for the service will be automatically debited from your Directa SIM account.

How to subscribe to the post-Investment Indexing service?
Here are the general rules applied when a user who has already invested wants to index the investment (whether he has paid the amount or not yet).
Important: you cannot access the indexing service on investments whose offer has already been finalized. You can apply post-investment Indexing only if the offer has not yet been finalized.
These are the steps to follow to access post-Investment Indexing service:
if the investor has not opened a Directa SIM account yet, he/she must open it and enable the indexing on his/her profile on Walliance. By taking this action, the investor assumes the risk of not being able to finish the process before the offer finalization;
afterwards, if the offer is not yet finalized, you can send an email to hello@walliance.eu attaching the PDF of "Order Confirmation" and stating the following:
I want to adhere to the alternative regime of unit registration pursuant to art. 100 TER of the T.U.F. through the qualified intermediary Directa SIM SpA.
I accept the Terms and Conditions of the service provided by Directa SIM.
I accept the Terms and Conditions proposed in the agreement with Directa SIM.
💡 Remember: at the time the investor sends this email, he/she must already have opened a Directa SIM account and must have paid the fees requested by Directa, which he/she will have to confirm.
