Walliance has signed a partnership with AIMG Studio (I'm Innovation Manager Group) from Bologna, a professional firm of Certified Public Accountants and Auditors, headed by Dr. Marco Michelini, which has a proven track record in SPVs (Special Purpose Vehicles) management, especially those used in the case of equity crowdfunding operations.
AIMG is responsible for the establishment, management, and final liquidation of the SPV on behalf of the Target Company that owns the real estate project and in the interests of the investors. Specifically, AIMG will be responsible for:
legal assistance in the preparation of ad hoc Articles of Association and any acts that may be necessary during the corporate life of the Target Company (i.e. corporate management activities until the dissolution of the company with the redistribution of proceeds to investors);
tax, accounting, and corporate assistance;
identification and appointment of the Sole Administrator of the SPV, an experienced professional who acts as an advocate for investors' interests vis-à-vis the Target Company.
The SPV in the Walliance model will be participated in by the Target Company, which contributes economically to its creation-usually with a share capital subscription of up to €10,000-but not to its management since it will have no administrative and/or voting rights.
If an investment offer involves the creation of a Vehicle Company by AIMG, the Documents section of the project page will contain the professional engagement letter. In addition, also within the project page, in the "The Issuer" section, there will be specifications regarding the SPV and the Target Company, along with the appointed administrator.
