What is the difference between Walliance Crowd and Walliance 500?

"Walliance Crowd" is a financing product designed for small and medium-sized enterprises to raise up to € 5 million. In this section of the website we find the technical products "Equity," "Lending," and "Mezzanine." Specifically:

  • "Equity" is designed for high-growth-potential companies with annual sales of more than €5 million. No extra guarantees, the investment is directed toward the SPV holding the real estate development.

  • "Lending" is the flexible financing solution dedicated to companies that need funds quickly to develop a must-have real estate operation.

  • "Mezzanine" is the perfect solution to guarantee investors repayment within a predetermined time with a predetermined annual return.

"Walliance Green" is the by-product of Lending crowdfunding included in Walliance Crowd, ranging from €200,000 to €5 million. It’s dedicated to real estate energy upgrades, development of photovoltaic plants, agrivoltaic and wind farms, energy communities, biomass plants and hydroelectric plants.

These products are offered as a crowdfunding service provider under Regulation (EU) 2020/1503.

"Walliance 500", on the other hand, is a product created to enhance European companies of large size and with characteristics of excellence. It is designed for companies capable of developing operations with a minimum funding round starting at € 15 million.

To access this solution, one must not only have relevant capital requirements and excellent operation execution skills but must also demonstrate the ability to get involved with a highly competent audience of investors. Walliance 500 also adopts similar technical forms as Walliance Crowd.

  • For the technical form "Equity", it follows the steps provided for smaller campaigns except for the structuring of the investor base, which, in this case, involves exclusively professional and institutional entities (or at any rate entities with large assets) within the meaning of MiFID II, thus approaching a confidential club deal logic.

  • "Minibond" and "Debt", on the other hand, aim at financing the development of multiple real estate operations carried out within a parent company - and/or more generally to finance the continuity or development of business activities-through the issuance of bonds and debt financial instruments. Companies that fall under the provisions of the law will be able to issue and place, with the help of Walliance, a minibond that can be subscribed by professional and institutional investors, as identified by the relevant regulations.

Together, the two products enable investors to access the real estate market and, at the same time, enable businesses of different sizes to use Walliance as a complete provider of financing tools.

These products are offered as an Investment Company (SIM) according to the Italian TUF and further applicable regulations on investment services.

Walliance Crowd and Walliance 500 differ in technical and regulatory aspects and are available in separate areas of the platform.
